Robert HalfTalent Solutions is currently looking for a Legal Counsel - Real Estate for a permanent position based in Waterloo.

Our client is a fast growing company active in the real estate sector.

As Legal Counsel - Real Estate you will be responsible for:

Real Estate Matters:

• Generally (pro-actively) providing legal support in all development issues;
• Drafting and negotiating contracts with service providers (such as architects, agents, contractors and engineers);
• Drafting and negotiating leases, long leases, building rights, easement rights, acquisition & sales agreements, partnership agreements, …;
• Setting up the (co)ownership structure of projects;
• Drafting template contracts and legal documents;
• Managing outside counsel and their performance;
• Closely cooperating with Project Managers and Directors in all development matters (permitting and administrative procedures, day-to-day issues of partnerships, …) and the set-up of and participating in contests and bidding procedures
• Transactional and structuring work, including:
  • Managing Due Diligence work and data room organization;
  • Structuring, documenting, drafting and negotiating transactions (acquisitions, financings, letting or sales);
  • Follow-up on transactions (post completion matters, monthly reporting, warranty claims, price/adjustment procedures, etc…);
  • Corporate and tax structuring.

Corporate Matters:

• Drafting and setting-up partnerships, shareholders' agreements;
• Managing internal corporate work;
• Setting-up subsidiaries and special purpose vehicles;

Litigation matters:

Managing pending disputes/litigation

The required profile for the Legal Counsel - Real Estate position:

• You have a law degree from a Belgian university;
• You have at least five years of professional experience in a legal function in real estate (lawyer, in-house legal counsel, notary office, consulting firm, real estate developer or equivalent), touching on the wide variety of real estate (development) matters, including civil law and construction matters, contracting matters, as well as company law and urban planning matters;
• You're fluent in French and have a very good knowledge of English ; Dutch is a plus.
